Özet

6102 sayılı Türk Ticaret Kanunu ile gerçek kişilerin yanı sıra tüzel kişilerin de anonim şirket yönetim kurulu üyeliğine seçilebilmeleri mümkün kılınmıştır. Tüzel kişi yönetim kurulu üyelerine de gerçek kişi yönetim kurulu üyeleri gibi vergisel anlamda ücret olarak sınıflandırılan mali haklar sağlanabilmektedir. Gelir Vergisi Kanunu'nun 61'inci maddesiyle yönetim kurulu üyelerine bu sıfatları dolayısıyla ödenen veya sağlanan para ve diğer menfaatler, gerçek kişi-tüzel kişi ayrımı yapılmaksızın, ücret olarak nitelendirilmiş, 94/1 maddesiyle de ücret sayılan ödemelerden vergi kesintisi yapılacağı hükme bağlanmıştır. Bunun sonucunda, kural olarak gerçek kişiler tarafından elde edilen gelir unsurlarının vergilendirilmesini amaçlayan Gelir Vergisi Kanunu ile tüzel kişi yönetim kurulu üyelerine yapılan ücret sayılan ödemelerin vergilendirilip vergilendirilemeyeceği meselesi gündeme gelmiştir. Bu çalışmada, anonim şirket yönetim kurulu üyelerine yapılan ücret niteliğindeki ödemelerin vergilendirilmesi hususu irdelenmiş, ilgili yönetim kurulu üyelerinin tüzel kişi olması durumunda bunlara yapılacak ücret ödemelerinin vergilendirilmesinde ortaya çıkması muhtemel belirsizlikler ve tereddütler tespit edilerek vergilerin kanuniliği ilkesi ışığında somut çözüm önerileri getirilmiştir

Abstract

Pursuant to the Turkish Commercial Code no: 6102, legal entities are granted the possibility to be elected to serve as a member of the board of directors in a joint stock company along with natural persons. The legal entity members of the board of directors can be provided financial rights which are considered as wage in the context of taxation. Article 61 of Income Tax Law describes, without distinction between real or legal persons, the payment of money or other benefits to the members of the board of directors as wage while Article 94/1 prescribes that payments defined as wage are subject to taxation. Consequently, whether it is possible to impose taxes on the payments made to legal entity members of the board of directors of joint stock companies which are considered to be wage under the Income Tax Law while in principle the purpose of Income Tax Law is to regulate the taxation of several items of income received by natural persons. This study analyses the taxation of payments made to the members of the board of directors of joint stock companies and determines the potential hesitations and uncertainties that may occur with regards to the taxation of wage payments when the relevant board of directors members are legal entities and suggests concrete solutions under the light of the principle of lawfulness of taxation.
