Özet

Uygulamada ticari faaliyetler kapsamında karşılaşılacak sorunlar- dan biri de, yürütülmekte olan ticari faaliyete benzer bir faaliyetin bir üçüncü kişi tarafından komşu taşınmazda yapılmaya başlanmasıdır. Ör- neğin, sahibi olduğu arazinin bir bölümünü elinden çıkarmak isteyen ve kendisi halihazırda ticari faaliyette bulunan malikin yeni alıcının satın aldığı arazi parçası üzerinde rekabet doğuracak ticari faaliyetlerde bu- lunmaya başlaması üzerinde bu faaliyetleri durdurma/engelleme yetkisi kural olarak olmayacaktır. Bu amaca yönelik olarak sonradan ticari faa- liyete başlamış kişiden arazi satışından önce sözlü taahhüt alınması veya bu kişi ile cezai şarta bağlı sözleşme yapılması akla gelebilir. Ancak bu çözümler sözlü taahhüdün bağlayıcı olmaması veya sözleşme ile sağla- nan korumanın nispiliği sonucu gerekli hukuki güvenceyi sağlayamazlar. İşte bu noktada TMK m. 838 hükmünce rekabet etmeme irtifakı kurula- rak esasen hakkın kurulması aşamasında belirlenmiş bir faaliyetin ya- pılmasından kaçınma borcunun yaratılması mümkündür. Kurulacak re- kabet etmeme irtifakı hakkın sahibine ayni hakkın ve olumsuz irtifak hakkı olarak rekabet etmeme irtifakından doğan hak zilyetliğinin sağla- dığı geniş korumayı sağlayacaktır. Çalışmamızda rekabet etmeme irtifakı türü, kapsamı, kuruluşu ve sona ermesi hususları bakımından incelenmekte olup, bu irtifak hakkının esas uygulama alanları İsviçre ve Alman Medeni Hukuk düzenlemeleri ile ortaya konulmaya çalışılacaktır.

Abstract

One of the problems which could be faced in the scope of com- mercial activities in practice is that a third person commences to engage in similar business activities on the neighbouring property. For instance, a land owner who is already engaged in commercial activities and wants to sell one part of his property does not, in principle, have the right to stop/prevent competitive activities conducted by the new purchaser on the piece of land he bought. In this regard, receiving an oral commitment from the person who subsequently started commercial activities prior to the sale of the property or making an agreement with him including a penalty clause could be considered. However, these do not provide the requisite legal security due to the fact that an oral commitment is not legally binding and the protection provided with an agreement is only partial. Therefore, by the help of covenants not to compete which could be drafted pursuant to Art. 838 of the Turkish Civil Code, a duty to refrain from conducting an activity specified at the time of establishment of the right could be imposed on the new purchaser. Such a covenant not to compete provides the right holder an effective protection as provided by the rights in rem and by the use of negative easement. This study examines covenants not to compete, their types, scope, establishment, termination and actual scope of application in comparison with the provisions of Swiss and German civil law.
