Özet
6102 sayılı Türk Ticaret Kanununda; anonim ile limited şirketler nezdinde denetim yapacak olan özel denetçinin, şirketin, ortakların ve şirket alacaklılarının zararına sebebiyet vermesi halinde, hukukî sorumluluğunun doğacağı açık bir şekilde hükme bağlanmıştır. Dolayısıyla, oluşan zararının tazmini noktasında yargı yoluna başvurulması ve özel denetçi aleyhine dava açılması mümkündür. Bu çalışmada, şirketin zararına sebebiyet veren özel denetçiler aleyhine davası açabilecek kişiler, davanın açılacağı mahkeme, dava zamanaşımı ve ibranın sorumluluğa etkileri üzerinde durulmaktadır.
Abstract
The new Turkish Commercial Code, Nu. 6102, clearly stated that the special auditor will be held responsible for the losses he cause and that affects the company, shareholders and creditors while auditing the joint-stock and limited liability companies. Therefore, it is possible to bring a lawsuit against the special auditor for these losses. In this study, we aim to explain the authorized person who can sue a lawsuit, the court where the lawsuit is processed, time limit of action and the affect of acquittance on civil liability, under the terms of the new Turkish Commercial Code.
