Özet
Türk Hukukunda ticari defterler konusu, asıl olarak 6102 sayılı Türk Ticaret Kanununda öngörülmüş, ancak söz konusu defterlerin içerikleri ve kayıt zamanı gibi hususlarda 213 sayılı Vergi Usul Kanununa göndermeler yapılmıştır. Anılan defterlerin tutulması TTK m.64, m.65 ve m.88de düzenlenmiştir. Ticari defter tutma; tacirler, tacir sayılanlar ve tacir gibi sorumlu tutulanlar bakımından öngörülmüş bir yükümlülük durumundadır. Bu yükümlülük söz konusu sıfatların kazanılması ile başlamakta ve ticaret sicilinden terkin ile son bulmaktadır. Ticari defterler onaya da tabi kılınmış olup, onay makamı esasen noterlerdir. Ticaret şirketler açısından bu onayın ticaret sicili müdürü tarafından verilebilmesi de olasıdır. Ayrıca, ticari defterlerin son kaydın yapıldığı takvim yılının bitiminden itibaren 10(on) yıl süreyle saklanması da gerekmektedir. Bu çalışmada temel olarak ticari defterlere ilişkin VUK ve TTK hü- kümleri işlenecektir.
Abstract
In Turkish law, the subject of commercial books mainly were foreseen in the Turkish Commercial Code No. 6102, but it has been connected to Tax Procedure Law No. 213 about the issues related to contents and recording times of commercial books. Keeping commercial books is regulated by the Turkish Commercial Code articles number 64, 65 and 88. It is considered an obligation for merchants, persons regarded as merchant, and persons are held responsible as merchants in these regulations. The obligation of keeping commercial books starts with gaining the quality of being merchant and ends with the cancellation of the merchant from the Commercial Registry. The commercial books are subject to ratification and the Notaries are the approved authorities for the ratification issue. Also the Director of the Commercial Registry can conclude the ratification procedure in terms of trading companies. In addition, the commercial books have to be kept by 10 years beginning with the calendar year in which the last record of the mentioned book was made. Mainly, Turkish Commercial Code and Tax Procedure Law articles related to commercial books will be subjected in this study.
