TİCARET UNVANI: SEÇİMİ, KULLANIMI, DEVRİ VE CEZALAR

Özet

Türk Ticaret Kanunu uyarınca tacir olmanın hükümlerinden birisi ticaret unvanı seçmek ve kullanmaktır. Uygulamada zaman zaman işlet- me adıyla karıştırılan ticaret unvanı, taciri tanıtmak ve diğer tacirlerden ayırt etmek için kullanılmaktadır. İşletme adı ise, ticari işletmeyi diğer işletmelerden ayırt etmek üzere kullanılan addır. İşletme adını tacir ol- mayan kişiler de kullanabilse dahi, ticaret unvanı sadece tacirlere özgü- dür. Türk Ticaret Kanunu ve ilgili mevzuat, ticaret unvanının seçimin- den kullanımına ve devrine kadar birtakım kurallar getirmiş ve bunlara uymayanlara adlî ve idarî para cezası verilmesini öngörmüştür. Bu ça- lışmada, 6102 sayılı Türk Ticaret Kanunu’na göre gerçek ve tüzel kişi tacirlerin ticaret unvanı seçerken, kullanırken ve devrederken dikkat et- meleri gereken hususlar ile yasaya aykırı hareket etmeleri halinde uygu- lanacak cezalar üzerinde durulmaktadır.

Abstract

One of the provisions of the Turkish Commercial Code on merc- hants is to select and use a merchant title. In practice, the merchant title ise sometimes confused with the business name. However, the merchant title is used to introduce the merchant and distinguish it from other merchants. On the other hand, the business name is used to differentiate the business from other businesses. Even though the business name can be used by non-merchants, the merchant title is unique to the merchants. The Turkish Commercial Code and related legislation introduced some rules from the selection, usage and transfer of merchant titles and bro- ught judicial and administrative penalties to those who do not comply with them. In this study, we aim to explain the rules on selecting, using and transfering Merchant titles that real person and entity merchants should obey and penalties for those who disobey the rules, under the terms of the Turkish Commercial Code.
