Özet
2017 yıl sonundan 2018/9 dönem arasında Türk Lirası değerini , yabancı para birimleri karşısında %53 - %58 oranında yitirmiştir. Yük-sek kur artışları, Şirketler açısından, itfa edilmemiş yabancı para borçla-rın VUK na göre değerlenmek zorunda olması “fiktif” zararları artırmak-ta ve şirketlerin bilançolarını olumsuz etkilemektedir. Şirket bilançoları-nın Özkaynakları söz konusu kur zararları nedeni ile azalmakta ve Şir-ketler TTK 376 maddesi kapsamında Teknik İflas ve/veya Borca Batık-lık sorunları ile karşı karşıya kalmaktadır. 15.09.2018 Tarihli Resmi Ga-zete’de “6102 Sayılı Türk Ticaret Kanununun 376’ncı Maddesinin Uy-gulanmasına İlişkin Usul Ve Esaslar Hakkında Tebliğ” yayımlanmıştır. Bu tebliğ kapsamında Şirketlerin Teknik İflas’dan ve Borca Batık olma durumunda kurtulması amacıyla süreli bir çözüm getirilmiştir.
Abstract
Between the end of 2017 and 2018/9, The Turkish Lira has lost its value by 53%-%58 against foreign currencies. As per provisions of the Tax Procedure Law (VUK) concerning valuation, the companies have to subject their unamortized foreign-exchange debts to exchange rate valu-ation. Due to excessive increases in foreign exchange rates during the recent period, valuating their foreign-exchange debts increases the "fic-tive" losses of companies and negatively impact their balance sheets. Due to said foreign exchange losses, the Shareholders' Equity in the balance sheets of companies have decreased and these companies there-fore faced problems of Technical Bankruptcy and/or Over Indebtedness within the meaning of Article 376 of the Turkish Commercial Law. The "Communiqué on the Principles and Procedures for the Implementation of Article 376 of the Turkish Commercial Law Numbered: 6102" was published in the Official Gazette dated: 15.09.2018. This communiqué has introduced a transitory solution in order that Companies can survive Technical Bankruptcy and Over Indebtedness.
