Özet
Anonim şirketin zorunlu organları genel kurul ve yönetim kurulu- dur. Kamu sermayeli anonim şirket yönetim kurulu tarafından yönetilir ve temsil edilir. 6102 sayılı Türk Ticaret Kanunu, genel kurul ile yönetim kurulu arasındaki işlev ayrımını kesin çizgilerle ayırmış ve yönetim kuru- lu toplantıları ile kararlarını yeni hükümlerle düzenlemiştir. Türk Ticaret Kanunu’nun yönetim kurulu toplantılarına ve kararlarına ilişkin olarak getirdiği bu yeniliklerin ve değişikliklerin bilinmesi, 6183 sayılı Amme Alacaklarının Tahsil Usulü Hakkında Kanun ışığında anonim şirketlerde kanuni temsilcinin belirlenmesi açısından da önem arz etmektedir. İşte bu çalışmada, 1 Temmuz 2012 tarihinde yürürlüğe giren 6102 sayılı Türk Ticaret Kanunu ve konuya ilişkin ikincil düzenlemeler ışığında kamu sermayeli anonim şirketin yönetim kurulu toplantıları ve kararları ele alınmaktadır.
Abstract
The mandatory bodies of the joint stock company are the general assembly of shareholders and the board of directors. Publicly owned joint stock company is managed and represented by the board of direc- tors. The Turkish Commercial Code Nu. 6102 has separated the functi- ons of the general assembly and the board of directors with strict rules and regulated the board of directors meetings and decisions with new provisions. Knowing these innovations and changes brought about the board of directors meetings and resolutions of the Turkish Commercial Code is important in terms of determining the legal representative in joint stock companies under the light of the Act of The Collection Proce- dures of Public Receivables Nu. 6183. In this study, we aim to explain the board of directors meetings and decisions of the publicly owned joint stock company under the light of the Turkish Commercial Code Nu. 6102, which entered into force on July 1, 2012 and the secondary regu- lations on the subject.
