Özet
Ticari davaların önemli özelliklerinden birisi, ticari davaya konu olan bir işlemin ticari defterlerle de ispat edilebilmesidir. Bu hususta 6762 s. Ticaret Kanunu’nda (“ETK”) yapılan düzenlemeye (m. 82 vd.) 6102 s. Ticaret Kanunu’nda (“TTK”) yer verilmemiş ise de, TTK tasarısının yasalaşması sırasında öğretide yapılan yoğun eleştiriler neticesinde 6100 sayılı Hukuk Muhakemeleri Kanunu (“HMK”) madde 222’de ticari defterlerle ispat usulü düzenlenmiştir. Burada özellik arz eden durum, ticari defterlerin kendi lehine delil teşkil etmesidir. Zira usul hukukunda kural bir kimsenin kendi aleyhine delil tanzim etmesi iken, söz konusu hükümle birlikte bazı şartların varlığı halinde istisnai olarak ticari defterlerin sahibi lehine delil olması kabul edilmiştir. Öte yandan, konu bu istisnai karakteri nedeniyle öğreti ve uygulamada tartışılmaya devam etmekte, özellikle defterlerin kesin delil niteliğinde olup olmadığı; defterlerde yazılı hususların dayanağı ilave kanıt ve belgelerin ibrazı gerekip gerekmediği, ticari defterlerle lehe ispat edilen bir hususun aksinin karşı bir delille ispatının mümkün olup olmadığı ve bunun ne şekilde yapılabileceği gibi meselelerde öğretide farklı fikirler ileri sürülmekte ve Yargıtay kararlarında farklı kabullerin olduğu görülmektedir. Son olarak, öğreti ve uygulamada tartışılan hususların yalnız bir bölümünü kapsayacak şekilde, HMK 222 hükmünde 22.7.2020 tarih ve 7251 sayılı kanunun 23. maddesi ile değişikliğe gidilmiş, ancak yapılan bu değişiklik de hüküm ve sonuçları itibariyle bir takım tartışmaları beraberinde getirmiştir. Çalışmamızda tüm bu belirtmiş olduğumuz konular özelinde ticari defterlerin sahibi lehine delil olması ve bu konuda kanunda yapılan son değişiklikler incelenecektir.
Abstract
One of the important features of commercial lawsuits is that a transaction subject to commercial litigation can also be proven by commercial books. Although Turkish Commercial Code No. 6102 (“TCC”) it is not included the regulation (Art. 82 et al.) which is about this issue in Former Turkish Commercial Code No. 6762 (“FCC”); as a result of the heavy criticism made by doctrine during the enactment of the TCC draft, the procedure of proof with commercial books was regulated again but in the Civil Procedure Code No. 6100 (“CPC”) Art. 222. The characteristic situation here is that using of commercial books is using as a self-evidence in behalf of its owner. Because in the procedural law, while the rule is that a person is to issue evidence against himself; with this provision, it is accepted that the commercial books can be evidence on behalf of its owner only in some exceptionally cases and with some requirements by the law. On the other hand, the subject continues to be discussed in teaching and practice due to this exceptional basis. Especially the key points of the discussion are, the real evidence nature of commercial books; the basis of the matters written in the books is whether it is necessary to submit additional evidence and documents, and if it is possible to prove the contrary of an issue proved by commercial books. It is seen that different opinions are put forward in the doctrine and there are different acceptances in the decisions of the Supreme Court. Finally, in a way to cover only some parts of the issues discussed in doctrine and practice, the provision of CPC Art. 222 was amended with the 23rd article of the law dated 22.7.2020 and numbered 7251; but this change brought along discussions in its terms and results. In our study, the self-evidence character of commercial books and the latest changes in the law on this issue will be examined.
