Özet

İsviçre Borçlar Kanunu m. 208 ve Türk Borçlar Kanunu m. 229 alıcının ayıp sebebiyle sözleşmeden dönmesi durumunda satıcının tazminat yükümlülüğünü dü- zenlerken “doğrudan zarar” ve “dolaylı zarar” ayrımına yer vermiştir. İsviçre-Türk Borçlar Hukuku’nda kullanılan hukuki terminolojiye yabancı olan bu iki kavram birçok tartışmaya sebep olmuştur. Zira bu ayrımın sınırlarının nasıl tespit edileceği hususu net değildir. Öğretideki temel iki eğilim bu ayrımı müspet ve menfi zarar ayrımı çerçeve- sinde konumlandırmak ya da nedensellik bağının yoğunluğuna göre bir ayrım yapmak şeklinde gelişmiştir. Bu çalışmada ilk olarak İsviçre-Türk öğreti ve uygulamasında sa- vunulmuş olan görüşlere değinilecektir. Daha sonra “doğrudan zarar” ve “dolaylı za- rar” ayrımının ne şekilde yapılacağı sorusuna bir cevap aranacaktır.

Abstract

Article 208 of the Swiss Code of Obligations and Article 229 of the Turkish Code of Obligations give place to distinction between “direct damages” and “indirect damages” while regulating the seller’s indemnification obligation in the event that the buyer terminates the contract. These two concepts, which are foreign to the legal terminology used in the Swiss-Turkish Obligations Law, have caused many debates. However, it is not clear how to determine the limits of this division. The two main tendances in the doctrine have been to develop this distinction in the context of positive and negative damage or to differentiate according to the intensity of causality. In this study, firstly, the views advocated in Swiss-Turkish teaching and practice will be mentioned. Then an answer will be sought in the question of how to distinguish between “direct damage” and “indirect damage”.
