Özet

Uygulamada, Almanya ve Avusturya’da yerleşik satıcıların, Türkiye’den bir alıcı ile yaptıkları satım sözleşmelerine mülkiyeti muhafaza kaydı koydurdukları gözlemlenmektedir. Genelde dağıtım sözleşmeleri bağlamında yapılan satım sözleşmelerinde yer alan bu kayıtların sicile geçmemeleri durumunda geçerli olup olmadığı sorusu Türkiye’de bir problem teşkil etmektedir. Öğretide bu soruya ilişkin her iki yönde de cevap bulmak mümkün iken, pek de yeni tarihli olmayan bir kararında Yargıtay Türkiye’de bu tip kayıtlar için öngörülmüş sicile geçmemiş kayıtlar açısından yabancılık unsuru bulunan bir olayda geçersizlik hükmünde bulunmuştur. Bu çalışmada, kısaca bu tip kayıtlar için Türk Medeni Hukuku’nda öngörülen esaslar, yine kısaca Almanya, Avusturya ve İsviçre hukuklarında bu kayıtların esası ve yabancılık unsuru varlığında durumu ve son olarak bu kayıtların bir yabancılık unsuru varlığı halinde Türk Milletlerarası Özel Hukuku bakımından geçerliliği incelenmektedir.

Abstract

It is a frequently referred practice for the sellers resident in Germany and Austria to secure their claims against the purchasers resident in Turkey by means of reservation of title clauses in purchase contracts associated with distribution contracts. Contrary to this common behavior, there is a question dividing doctrine whether the seller shall retain ownership of goods handed over to the purchaser on the grounds of reservation of title clause which is not entered in the official register kept by the Notary at the current domicile of the purchaser. In an old-dated decision, Yargıtay gave a negative answer to this question in a case with a foreign element. In this paper, the fundamentals of reservation of title clauses within the framework of Turkish Civil Law are pointed out and a brief explanation on German, Austrian and Swiss Civil Law is given in this regard. The main focus aims at the validity of reservation of title clauses according to Turkish Private International Law in cases where such relationship between the seller and the purchaser contains a foreign element.
